Please read these Terms and Conditions carefully before engaging the services of Makeover Your Website ("we", "us", or "our"), operating at www.makeoveryourwebsite.co. By using our website or engaging our web design services, you ("the Client") agree to be bound by these terms.
1. Services
Makeover Your Website provides professional web design and related digital services, which may include but are not limited to website design, website redesign, landing page creation, website audits, and ongoing website maintenance.
The specific scope of services for each project will be agreed upon in writing (via email, proposal, or a signed contract) prior to commencement of work. Any work outside the agreed scope may be subject to additional fees.
2. Quotes and Pricing
All quotes provided are valid for 10 days from the date of issue unless otherwise stated. Prices are listed in American dollars (USD) and, where applicable, exclude GST unless stated otherwise.
We reserve the right to adjust our pricing at any time. Changes will not affect projects already accepted in writing.
3. Payment Terms
Unless otherwise agreed in writing, the following payment structure applies:
A 33.33% deposit is required before work commences (if paying by payment plan)
The remaining balance is to be paid prior to the website going live or final files being delivered
Invoices are due within 14 days of the invoice date unless otherwise agreed. We reserve the right to pause or withhold work on projects where payment is overdue. Continued non-payment may result in the project being cancelled and any completed work being withheld until outstanding amounts are settled.
Late payments may incur an interest charge of 2% per month on the outstanding balance.
4. Client Responsibilities
To enable us to deliver your project efficiently, you agree to:
Provide all required content (text, images, logos, brand assets) in a timely manner and in the agreed format
Respond to requests for feedback, approvals, or information within a reasonable timeframe (typically 5 business days)
Ensure all content and materials supplied to us are owned by you or that you have the legal right to use them
Designate a single point of contact for communications and decisions relating to the project
Delays caused by the Client's failure to provide required materials or approvals may result in revised project timelines or additional charges.
5. Revisions and Changes
Each project includes a set number of revision rounds as specified in the project proposal or agreement. Revisions are defined as reasonable amendments to the agreed design — not significant changes to scope or direction.
Requests that fall outside the agreed revision rounds, or that constitute a material change to the original brief, will be quoted separately and charged accordingly.
6. Intellectual Property and Ownership
Upon receipt of full payment, ownership of the final website design and associated deliverables transfers to the Client. Until full payment is received, all work remains the intellectual property of Make Over Your Website.
We retain the right to display completed work in our portfolio, on our website, and in marketing materials, unless the Client requests otherwise in writing.
Any third-party assets used in the project (such as stock photography, fonts, or plugins) remain subject to their respective licences. It is the Client's responsibility to ensure ongoing compliance with those licences after the project is completed.
7. Third-Party Platforms and Tools
We may recommend or use third-party platforms, tools, or services (such as website builders, hosting providers, content management systems, or plugins) to complete your project. We are not responsible for the performance, availability, pricing, or terms of these third-party services. Any costs associated with third-party platforms are the Client's responsibility unless otherwise agreed.
8. Website Hosting and Ongoing Maintenance
Unless a hosting or maintenance package has been agreed, we are not responsible for the ongoing hosting, security, performance, or maintenance of your website after project handover. We recommend that Clients arrange appropriate hosting and regular backups.
If ongoing maintenance services are agreed separately, the terms and pricing for those services will be outlined in a separate agreement or schedule.
9. Turnaround Times
Estimated project timelines are provided in good faith and are dependent on timely receipt of content and approvals from the Client. We will make every effort to meet agreed deadlines, but we are not liable for delays caused by Client delays, third-party services, or circumstances outside our reasonable control.
10. Limitation of Liability
To the fullest extent permitted by law, Make Over Your Website shall not be liable for any indirect, incidental, special, or consequential loss or damage arising from the use of our services or the completed website, including but not limited to loss of revenue, loss of data, or loss of business opportunity.
Our total liability to you in connection with any project shall not exceed the total fees paid by you for that project.
11. Cancellations
If you wish to cancel a project after work has commenced, you must notify us in writing. The following applies:
The deposit is non-refundable once work has begun
If work has progressed beyond the deposit amount, you will be invoiced for the work completed to date at our standard hourly rate
Any completed work will not be released until all outstanding amounts have been paid
12. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project. This obligation does not apply to information that is publicly available or that is required to be disclosed by law.
13. Governing Law
These Terms and Conditions are governed by the laws of New Zealand. Any disputes arising from these terms or from the provision of our services shall be subject to the exclusive jurisdiction of the New Zealand courts.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. The current version will always be available on our website. Continued use of our services after any changes constitutes your acceptance of the updated terms.
